Agreement to Terms
These Terms of Use are an agreement between you and C2C Ventures LLC, which operates the OptimizeMD platform. They govern your use of OptimizeMD.co and related OptimizeMD services that reference these Terms.
By accessing the website, creating an account, checking an acceptance box, or using a covered service, you acknowledge that you have read and agree to these Terms. If you do not agree, do not use the covered services.
Eligibility
You must be at least 25 years old to seek services through OptimizeMD. Services are intended only for people located in jurisdictions where the relevant services may lawfully be provided.
Access to the website, completion of an intake, or payment does not guarantee medical eligibility or access to any particular treatment.
Nature of OptimizeMD
OptimizeMD is operated by C2C Ventures LLC and is a telehealth platform and administrative services provider. OptimizeMD is not itself a medical practice. Medical services accessible through the OptimizeMD platform are provided by independent licensed healthcare professionals affiliated with provider networks including LocumTele and Providers On Demand. These healthcare professionals exercise independent medical judgment and are solely responsible for clinical evaluations, diagnoses, treatment recommendations, and prescribing decisions. Provider availability, licensure, and treatment availability vary by jurisdiction.
Independent Medical Providers
Licensed healthcare professionals affiliated with LocumTele and Providers On Demand are responsible for medical evaluations, diagnoses, treatment recommendations, prescribing decisions, and ongoing clinical decisions. They exercise independent medical judgment.
Nothing on this website guarantees that a clinician will prescribe a particular medication or approve a requested treatment. Provider availability and licensure vary by jurisdiction.
Telehealth
Certain healthcare services are delivered using telehealth. Telehealth has limitations and may not be appropriate for every condition. A provider may require laboratory testing, more information, an in-person examination, a referral, or may determine that treatment is not appropriate.
Please review the Telehealth Consent.
No Emergency Services
OptimizeMD and the telehealth services accessible through the platform are not intended for emergencies. If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency medical care.
Prescriptions and Treatment Eligibility
Completing an intake or requesting medication does not guarantee treatment or a prescription. Clinical eligibility is determined independently by the treating healthcare professional.
Treatment may be denied, changed, discontinued, or made subject to additional evaluation based on clinical judgment. Prescription medication is available only when a licensed healthcare professional determines it is appropriate.
Pharmacy Services
Prescription medications may be fulfilled through participating pharmacy partners, which currently include Vios Compounding Pharmacy, as applicable. Pharmacy availability may vary based on the medication, patient location, clinician direction, and applicable law.
Some medications may be compounded. Compounded drugs are not FDA-approved and are not reviewed by FDA for safety, effectiveness, or manufacturing quality before marketing in the same manner as FDA-approved drugs. Not all medications accessible through the platform are necessarily compounded.
Laboratory Services
Laboratory services may be performed through third-party laboratories including Labcorp. Where offered, at-home blood collection may use Tasso collection devices, with samples processed through applicable laboratory arrangements. Availability and collection method may vary. OptimizeMD does not operate Labcorp or manufacture Tasso devices.
Payments
Services are cash-pay. OptimizeMD does not currently accept insurance for these services.
Payment processing may be provided directly by OptimizeMD or C2C Ventures LLC, or through authorized third-party service providers. During the current transition to direct payment processing, certain transactions may be facilitated through OLA Digital Health / OLA MD LLC. The payment processor may change over time.
Recurring Subscriptions and Automatic Renewal
When a treatment or program is sold on a recurring basis, charges renew automatically at the amount and billing interval disclosed before enrollment until canceled. By enrolling, you authorize those recurring charges.
You may cancel at any time. Cancellation prevents the next renewal; it does not automatically end or refund the current paid period. Services already paid for may continue through that period, subject to clinical appropriateness. See the Refund & Cancellation Policy.
Cancellation and Refunds
A purchase may qualify for a full refund when canceled before the clinician consultation has occurred, any laboratory work or kit has been ordered or completed, and any prescription has been sent to a pharmacy. Approved refunds are generally processed within 7–10 business days.
If a clinician determines that a patient is not medically eligible, the medication portion will be refunded, while completed consultation fees, completed laboratory work, and incurred lab-kit costs are not refundable. Once a prescription is sent to a pharmacy, the medication portion is non-refundable, even if it has not yet been filled or shipped. Dispensed or shipped medication is non-refundable. The complete Refund & Cancellation Policy controls.
User Responsibilities
You agree to provide accurate and complete information, including relevant medical information to the treating healthcare professional.
- Do not impersonate another person or submit fraudulent information.
- Do not misuse prescriptions or use the platform unlawfully.
- Do not interfere with site security or access systems without authorization.
Communications
If you provide contact information, you may receive transactional or service communications by email or SMS. Marketing consent is separate and is not a condition of receiving medical treatment or making a purchase where prohibited by law.
You may unsubscribe from marketing emails using the link provided and may reply STOP to applicable marketing texts. Opting out of marketing does not prevent legally permitted treatment-related or essential service communications.
Third-Party Services
OptimizeMD interacts with independent healthcare providers and provider networks, pharmacies, laboratories, telehealth technology and patient-portal providers, payment processors, and communications providers. Their services may be governed by separate terms and privacy practices.
Intellectual Property
Website content, branding, designs, logos, and other proprietary materials are owned by C2C Ventures LLC and/or its licensors, as applicable. OptimizeMD and OptiMale are brand names used by the business. Nothing in these Terms grants you a license except the limited right to use the website as intended.
Website Information and No Medical Advice
Educational and marketing content on OptimizeMD.co is general information only. It does not replace individualized medical advice, diagnosis, or treatment from a qualified healthcare professional.
Disclaimers
To the fullest extent permitted by law, the website and non-clinical platform services are provided without warranties not expressly stated in these Terms. We do not guarantee uninterrupted access, a particular treatment, a prescription, or a particular health outcome. Rights and warranties that cannot legally be waived remain unaffected.
Limitation of Liability
To the fullest extent permitted by applicable law, C2C Ventures LLC and OptimizeMD will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website or non-clinical platform services. This limitation does not apply where liability cannot lawfully be limited and does not alter the responsibilities of independent healthcare professionals for medical services.
Indemnification
To the extent permitted by law, you agree to indemnify C2C Ventures LLC against third-party claims arising from your unlawful misuse of the website, fraud, infringement, unauthorized access, or material violation of these Terms. This does not require indemnification for legitimate medical care or matters for which indemnification cannot lawfully be required.
Dispute Resolution and Arbitration
This section affects legal rights and should be reviewed carefully. Before filing a covered claim, you and C2C Ventures LLC agree to attempt good-faith informal resolution by sending a written notice describing the dispute and requested resolution to the contact information below and allowing a reasonable opportunity to respond.
Except for claims eligible for small claims court or requests for appropriate injunctive relief, unresolved disputes will be resolved by individual binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules, to the extent enforceable. The Federal Arbitration Act governs this arbitration provision. Covered claims may not proceed as class or collective arbitration where that waiver is enforceable.
You may opt out of this arbitration provision by sending a clear written request to support@optimizemd.co within 30 days after first accepting these Terms. The request must identify you and state that you opt out of arbitration. This provision is subject to applicable law and requires attorney review before final reliance.
Governing Law
Florida law governs these Terms, without regard to conflict-of-law principles, subject to the Federal Arbitration Act and mandatory consumer protections or other laws that cannot be waived.
Changes to These Terms
We may update these Terms and will post a new “Last updated” date. Material changes will be communicated and affirmative consent obtained when required by applicable law. Continued use will not substitute for consent where the law requires another form of acceptance.
Severability
If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect.
Entire Agreement
These Terms, together with policies expressly incorporated by reference and any transaction-specific terms presented to you, form the agreement concerning the covered website and platform services.
